These Terms and Conditions (“Terms”) govern your access to and use of services provided by PAHE Africa and its marketing platform PAHE Home Advantage (collectively, “PAHE”, “we”, “us”, “our”). By accessing or using any part of our services or platform, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use our services.

1. Introduction

PAHE Africa is a private equity firm focused on identifying, acquiring, and managing multifamily real estate investment opportunities across Africa, with a mission to simplify access to verified, income-generating real estate for local and diaspora investors through our marketing platform, PAHE Home Advantage.

2. Eligibility

By using our platform or services, you represent that:

• You are at least 18 years of age
• You have the legal authority to enter into binding agreements
• If investing, you qualify as a sophisticated investor, accredited investor, or meet equivalent regulatory standards in your jurisdiction
• You will comply with all applicable local and international investment laws

3. Nature of Services

Our services include:

• Sourcing and structuring multifamily investment opportunities
• Property acquisition, asset management, and value optimization
• Providing access to verified deals through PAHE Home Advantage
• Offering investor onboarding, KYC/AML screening, and capital deployment tools
• Disbursing investment reports, distributions, and portfolio insights

4. Investment Risks Disclaimer

All investments involve risk. You acknowledge and agree that:

• Past performance is not indicative of future results
• Investment values may fluctuate and returns are not guaranteed
• Real estate is subject to economic, legal, and market risks
• You may lose part or all of your invested capital

We recommend that all investors seek independent financial and legal advice before committing capital.

5. Account Creation and Investor Verification

To access investment opportunities, you must:

• Create an account on PAHE Africa investors platform
• Complete identity verification (KYC) and financial accreditation (where required)
• Agree to electronic communications and disclosures
• Maintain accurate and up-to-date information

We reserve the right to accept or reject any account or investment without providing reason.

6. Confidentiality and Use Restrictions

You agree not to:

• Share sensitive deal information or documents with third parties
• Use any content for commercial purposes without our consent
• Reverse-engineer, scrape, or interfere with the platform

All materials, models, financial projections, and proprietary content are confidential and remain the property of PAHE Africa or its affiliates.

7. Fees and Distributions

Investors may be subject to:

• Management fees
• Acquisition/disposition fees
• Promote/carried interest (subject to deal structure)
• Transaction or administrative charges

All applicable fees will be disclosed in the Private Placement Memorandum (PPM) or relevant documentation. Distributions (dividends or returns) are subject to asset performance and fund terms.

8. No Investment Advice or Offer

Nothing on our platform constitutes:

• An offer to sell or a solicitation of an offer to buy securities
• Personalized financial, tax, or legal advice

All offerings are made exclusively through legally compliant documents, including but not limited to a PPM, term sheet, and subscription agreement.

9. Limitation of Liability

To the extent permitted by law, PAHE Africa will not be liable for:

• Any direct, indirect, incidental, or consequential losses
• Investment losses or unrealized gains
• Delays or interruptions in platform access
• Errors in data or third-party integrations

Maximum liability is limited to the fees paid to PAHE in the 12 months preceding the event giving rise to the claim.

10. Termination

We reserve the right to suspend or terminate your account or restrict platform access if:

• You breach these Terms
• Regulatory issues arise with your investment profile
• Misuse or unauthorized behavior is detected

Termination does not affect rights and obligations accrued prior to termination.

11. Amendments

We may modify these Terms at any time. Changes will be posted on our website or sent via email. Continued use of the platform after such changes constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through:

• Good faith negotiations, failing which
• Arbitration in Lagos, Nigeria under the Arbitration and Conciliation Act
